風險債 (Venture Debt) 與一般貸款的差異是，一般貸款是以實體資產作為抵押或擔保品，但風險債卻是使用新創的融資能力與市場估值作為評估。相較於可轉債的本質，是比較偏向股票的債券。不過風險債並沒有可轉換為股票的特性，也不具有稀釋股本或奪取公司控制權的缺點，進而變成矽谷新創的熱門融資工具。
